These Terms of Service govern your use of cybervirtues.com and your purchase or use of consulting, advisory, assessment, project leadership, cybersecurity, technology, and related services provided by Cyber Virtues LLC (“Cyber Virtues,” “we,” “us,” or “our”).
By scheduling a service, submitting payment, approving a proposal or statement of work, or using our services, you agree to these Terms.
1. Services
Cyber Virtues provides professional services that may include fractional CIO and technology leadership, cybersecurity advisory, technology assessments, strategic planning, program and project leadership, operational improvement, vendor management, cloud and infrastructure guidance, and related consulting services.
The specific scope, deliverables, schedule, fees, and responsibilities for an engagement may be described in a proposal, statement of work, invoice, order form, or other written agreement.
If a separate written agreement conflicts with these Terms, the separate written agreement will control for that engagement.
2. No Guarantee of Results
Cyber Virtues will provide services using commercially reasonable care and professional judgment. Business, financial, operational, cybersecurity, technology, and project outcomes depend on many factors outside our control.
We do not guarantee specific cost savings, revenue increases, security outcomes, regulatory results, project completion dates, or other business results unless expressly stated in a signed written agreement.
3. Client Responsibilities
Clients agree to provide timely, complete, and accurate information; appropriate access to systems, personnel, vendors, and documents; and timely decisions and approvals necessary to perform the services.
Cyber Virtues is not responsible for delays, additional costs, or incomplete results caused by inaccurate information, unavailable resources, delayed approvals, third-party providers, or circumstances outside our reasonable control.
4. Fees and Payment
Fees are displayed at checkout, stated on an invoice, or included in an approved proposal or statement of work.
Payment may be processed through Stripe or another authorized payment provider. By submitting payment information, you authorize the applicable charges and represent that you are authorized to use the selected payment method.
Unless otherwise stated in writing:
Strategy sessions and fixed-price services must be paid before work begins.
Invoices are due by the date shown on the invoice.
Ongoing advisory or retainer services are billed according to the agreed billing schedule.
Additional services outside the approved scope require separate authorization and may result in additional charges.
Clients remain responsible for applicable taxes, fees, and approved expenses.
5. Cancellation, Rescheduling, and Refunds
Strategy sessions and scheduled consultations
You may cancel or reschedule a scheduled consultation by contacting us at least 24 hours before the scheduled start time.
Cancellations made at least 24 hours in advance are eligible for a full refund.
Requests made less than 24 hours before the scheduled time are non-refundable.
One rescheduling request may be permitted without an additional fee.
Failure to attend a scheduled session without notice is non-refundable.
Assessments, projects, and fixed-scope services
Payments become non-refundable once work has begun, resources have been reserved, research has been performed, documents have been reviewed, or deliverables have been created.
If Cyber Virtues cancels a service before completing the agreed work, the client will receive either:
A refund for the portion of services not performed; or
An opportunity to reschedule or apply the unused amount toward another service.
Any engagement-specific refund or cancellation terms contained in a proposal or statement of work will take precedence.
Retainers and recurring services
Recurring services may be canceled before the next billing date by providing written notice. Cancellation stops future billing but does not generally produce a prorated refund for a billing period that has already started.
Refund requests should be submitted to michaeljohnson@cybervirtues.com and should include the purchaser’s name, payment date, service purchased, and reason for the request.
6. Payment Disputes and Chargebacks
Clients should contact Cyber Virtues before initiating a payment dispute or chargeback so that we have an opportunity to investigate and resolve the issue.
Submitting a chargeback does not eliminate responsibility for fees properly earned under an approved engagement.
7. Confidentiality
Each party may receive confidential or proprietary information belonging to the other party. Each party agrees to use reasonable safeguards to protect such information and to use it only for purposes related to the engagement.
Confidential information does not include information that:
Is publicly available through no breach of these Terms;
Was lawfully known before disclosure;
Is received lawfully from another source; or
Is independently developed without using the other party’s confidential information.
Cyber Virtues may disclose information when required by law or legal process.
8. Intellectual Property
Each party retains ownership of materials, methods, templates, processes, software, documentation, trademarks, and intellectual property owned or developed before the engagement.
Upon full payment, the client may use final deliverables created specifically for that client for its internal business purposes unless another license or ownership arrangement is stated in writing.
Cyber Virtues retains ownership of its general knowledge, experience, methodologies, reusable templates, frameworks, tools, and materials that do not contain the client’s confidential information.
9. Third-Party Products and Services
Cyber Virtues may recommend or assist with third-party software, platforms, vendors, contractors, or service providers. Those third parties operate under their own agreements, pricing, privacy policies, service levels, and security practices.
Cyber Virtues is not responsible for third-party outages, product failures, pricing changes, data practices, contract terms, or performance.
10. Cybersecurity and Technology Risk
No technology environment, security control, assessment, recommendation, or service can eliminate all cybersecurity or operational risk.
Unless expressly included in a signed agreement, Cyber Virtues does not provide continuous security monitoring, managed detection and response, legal compliance certification, penetration testing, or an assurance that a client’s systems are free from vulnerabilities.
Clients remain responsible for approving and implementing recommendations and maintaining appropriate safeguards, backups, insurance, policies, and incident-response procedures.
11. Acceptable Use
You may not use the website or our services to:
Violate applicable laws or regulations;
Infringe the rights of another person or organization;
Introduce malicious code or interfere with website operations;
Attempt unauthorized access to systems or information;
Misrepresent your identity or payment authority; or
Use deliverables for unlawful, deceptive, or harmful purposes.
12. Limitation of Liability
To the fullest extent permitted by law, Cyber Virtues will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, lost data, interrupted operations, or lost business opportunities.
Cyber Virtues’ total liability arising from a particular service or engagement will not exceed the amount paid to Cyber Virtues for that service during the six months preceding the event giving rise to the claim.
These limitations do not apply where prohibited by law or where a separate signed agreement provides otherwise.
13. Indemnification
You agree to indemnify and hold Cyber Virtues harmless from third-party claims, damages, or expenses arising from your unlawful use of the website or services, your violation of these Terms, or materials and instructions supplied by you that infringe another party’s rights.
14. Website Information
Website content is provided for general informational purposes and may be changed without notice. Website content does not create a consulting relationship until Cyber Virtues accepts an engagement or payment for a defined service.
Case studies, examples, and prior results are illustrative and do not guarantee similar outcomes.
15. Privacy
Personal information submitted through the website, scheduling tools, contact forms, or payment systems will be handled according to our Privacy Policy.
Payment-card information is processed by the applicable payment provider and is not stored directly by Cyber Virtues unless expressly stated.
16. Electronic Communications
You consent to conducting transactions and receiving engagement-related communications electronically, including by email, online forms, payment pages, proposals, and electronic signatures.
Electronic records and signatures are recognized under Tennessee law.
17. Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
Any legal proceeding arising from these Terms or the services will be brought in a court of competent jurisdiction located in Tennessee, unless the parties agree otherwise in writing.
18. Changes to These Terms
Cyber Virtues may update these Terms periodically. Updated Terms will be posted on this page with a revised effective date.
Changes will apply prospectively and will not modify an existing signed agreement unless accepted by both parties.
19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the affected provision will be interpreted as closely as legally permitted to its intended purpose.
20. Entire Agreement
These Terms, together with any applicable proposal, statement of work, invoice, order form, privacy policy, or signed agreement, constitute the agreement concerning the applicable website use or services.
